Terms of Service

1. Acceptance of Terms

By accessing or using LedgNity ("the Service"), a product of FindNity LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. The Service is intended for use by accounting professionals, businesses, and their authorized team members.

2. Description of Service

LedgNity is an AI-powered accounting platform designed for accounting firms managing multiple clients. The Service provides:

• Company management with a desktop-based folder interface
• Invoicing (incoming and outgoing), expense tracking, and receipt management
• Bank account connections via Plaid (US/Canada) and TrueLayer (EU/UK) with automatic reconciliation
• Payroll management including salary calculations, tax deductions, and payslip generation
• Tax tracking and filing preparation (VAT, sales tax, income tax)
• Financial reports (Profit & Loss, Balance Sheet, Cash Flow, Analytics)
• Asset tracking with depreciation calculations
• Chart of accounts, journal entries, general ledger, and trial balance
• Audit trail for tracking all changes across your data
• Year-end close with automatic journal entries
• Aging reports for accounts receivable and payable
• Contract and contact management
• AI-powered assistant for document processing, categorization, anomaly detection, and report generation
• Deadline and task management
• Team collaboration with role-based access
• Integration with Google Workspace, Microsoft 365, Dropbox, and Stripe
• Export to PDF, CSV, and Excel formats

The Service is provided "as is" and may be updated, modified, or improved at any time.

3. User Accounts

You must provide accurate and complete information when creating an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring that team members you invite comply with these terms

We support email/password authentication and Google OAuth sign-in. Two-Factor Authentication (2FA) is available for additional security.

4. Subscription Plans and Billing

The Service offers multiple subscription tiers with different feature limits:

• Each plan defines limits on companies, invoices, expenses, contacts, employees, bank accounts, tax records, contracts, assets, deadlines, and team members
• AI features (chat assistant, analysis, reports) are available based on your plan
• Subscriptions are billed monthly or annually through Stripe
• You may upgrade, downgrade, or cancel your subscription at any time
• Upon cancellation, you retain access until the end of your current billing period
• Refunds are provided in accordance with applicable law

We do not store your payment card information. All payment processing is handled securely by Stripe.

5. Data Ownership and Storage

Your financial data remains your property at all times.

• Metadata and extracted text are stored in our database (Firebase Firestore), encrypted at rest with AES-256
• Original documents (PDFs, images, spreadsheets) remain in your own cloud storage — Google Drive, Dropbox, or OneDrive. We never store your original files.
• You can export all your data at any time in PDF, CSV, or Excel format
• Upon account deletion, all data is permanently removed within 30 days

6. Team Access and Roles

Account owners can invite team members with the following roles:

• Owner: Full access to all data, settings, billing, and team management
• Senior: Access to all company data and team oversight
• Accountant: Access to financial data within assigned companies
• Junior: Limited access to assigned tasks and data

The account owner is responsible for managing team member permissions and ensuring compliance with applicable data protection regulations.

7. Third-Party Integrations

The Service connects to third-party services to provide additional functionality:

• Plaid / TrueLayer: Bank account connections. You authorize access directly with these providers.
• Google Workspace / Microsoft 365: Email scanning for invoices and receipts, calendar, and cloud storage. Connected via OAuth with your explicit consent.
• Stripe: Payment processing for subscriptions and connected accounts.
• Dropbox: Document storage integration.

You can connect and disconnect integrations at any time from your settings. We store encrypted OAuth tokens to maintain your connections. Each integration is subject to its own terms of service.

8. AI-Generated Content

The Service uses artificial intelligence (Google Gemini) to:

• Process and categorize financial documents
• Detect anomalies in transactions and invoices
• Generate financial reports and recommendations
• Provide a conversational assistant for accounting questions
• Scan emails for invoices, receipts, and bills

Important: AI-generated results are provided as recommendations only. They should always be reviewed by qualified accounting professionals before being used for official financial reporting, tax filing, or legal purposes. LedgNity is not a licensed accounting firm and does not provide accounting, tax, or legal advice.

9. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or to process fraudulent financial data
• Attempt to gain unauthorized access to any part of the Service or other users' data
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious content, viruses, or harmful files
• Share your account credentials with unauthorized parties
• Exceed your plan limits through automated or abusive means
• Reverse engineer, decompile, or attempt to extract the source code of the Service

10. Limitation of Liability

To the maximum extent permitted by law:

• LedgNity and FindNity LLC are not liable for any errors in AI-generated content, financial calculations, or automated categorizations
• We are not liable for any financial losses, tax penalties, or legal consequences resulting from the use of the Service
• We are not liable for interruptions, data loss caused by third-party services (Plaid, TrueLayer, Stripe, Google, Microsoft), or events beyond our reasonable control
• Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim

11. Termination

• We may suspend or terminate your account for violation of these terms, with prior notice where possible
• You may delete your account at any time from your account settings
• Upon termination, deleted items are moved to Trash and permanently removed after 30 days
• Data required by law may be retained beyond this period
• Active subscriptions will not be refunded upon termination for terms violation

12. Governing Law

These Terms of Service are governed by the laws of the State of Colorado, United States. Any disputes arising from or related to these terms shall be resolved in the courts of Colorado Springs, Colorado.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of significant changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new terms.
